Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Millimetric service, websites, APIs, MCP server, SDKs and documentation (together, the "Service"), operated by Millimetric, Inc. ("Millimetric", "we", "us"). By creating an account or using the Service, you ("Customer", "you") agree to these Terms.

1. Account & eligibility

  • You must be at least 18 years old (or of legal age in your jurisdiction) to use the Service.
  • You are responsible for the security of your account and API keys. Keep sk_live_* and rk_live_* keys server-side.
  • You may invite teammates; you are responsible for their actions on the Service.

2. The Service

Millimetric provides hosted analytics ingestion, storage, attribution and query APIs. We will use reasonable efforts to keep the Service available 24/7 (target 99.9% monthly uptime, see SLA if applicable to your plan). Scheduled maintenance will be announced where practical.

3. Your content & data

  • You own the data you send to the Service ("Customer Data").
  • You grant Millimetric a limited, non-exclusive licence to host, process, transmit and display Customer Data solely to operate and improve the Service for you.
  • You are responsible for posting a privacy notice to your end users where required by law, and for any consent you must obtain from them.
  • For Visitor data, the parties' obligations as controller / processor are governed by our Data Processing Agreement, which forms part of these Terms.

4. Acceptable use

Your use of the Service is subject to our Acceptable Use Policy. Briefly: don't use Millimetric to track people who haven't been informed it's happening, don't try to break the system, and don't send us data you shouldn't have in the first place (e.g. sensitive special-category data without a basis to do so).

5. Fees & billing

  • Free tier usage is billed at $0 up to the included event allowance.
  • Paid plans renew monthly or annually as selected. Fees are charged to the payment method on file.
  • Overage is billed at the rate listed on the pricing page or in your order form.
  • Fees are non-refundable except where required by law or our published refund policy.
  • You are responsible for applicable taxes. We will collect VAT / sales tax where we are required to.

6. Term & termination

  • These Terms continue until terminated by either party.
  • You may cancel at any time from the account settings.
  • We may suspend or terminate your access if you breach these Terms, the AUP, or we are required to by law.
  • On termination, we will delete Customer Data within 30 days, except for records we are required to retain.

7. Warranties & disclaimers

The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. Nothing in these Terms limits warranties that cannot be excluded under applicable law (including UK and EU consumer protection law).

8. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data or goodwill. Our total aggregate liability arising out of or relating to these Terms will not exceed the fees you paid us in the 12 months before the event giving rise to the claim, or $100 if you are on the free tier.

This limit does not apply to (a) liability that cannot be limited by law, (b) your obligation to pay fees, (c) your indemnification obligations, or (d) infringement of the other party's intellectual property.

9. Indemnification

You will defend, indemnify and hold harmless Millimetric from third-party claims arising out of (a) your Customer Data, (b) your breach of these Terms or the AUP, or (c) your violation of law. We will defend, indemnify and hold harmless Customer from third-party claims that the Service, as provided by us and used in accordance with these Terms, infringes that third party's intellectual property rights.

10. Governing law & disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict of laws rules. Disputes will be brought exclusively in the state or federal courts located in Delaware, except that either party may seek injunctive relief in any court of competent jurisdiction.

If you are a consumer resident in the EU or UK, you have the rights and remedies provided by the consumer law of your country of residence, and you may bring proceedings in the courts of your country of residence.

11. Changes

We may update these Terms from time to time. Material changes will be announced by email or in-product notice at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.

12. Miscellaneous

  • These Terms are the entire agreement between us regarding the Service.
  • If any provision is unenforceable, the rest stays in effect.
  • Neither party may assign these Terms without the other's consent, except to a successor by merger or sale of substantially all assets.
